Terms and Conditions

1. Introduction

Welcome to KiraX Solutions ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website and services. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use our services.

2. Definitions

  • "Services" refers to all software development, consulting, and digital services provided by KiraX Solutions.

  • "Client" refers to any individual or organization that engages KiraX Solutions for services.
  • "Deliverables" refers to any software, code, documentation, or other work product created by KiraX Solutions for the Client.

3. Services

KiraX Solutions provides a wide range of software development and digital services including but not limited to:

  • Custom software development
  • Web and mobile application development
  • Cloud solutions and infrastructure
  • AI and machine learning services
  • DevOps and technical consulting
  • Digital transformation services

The specific services to be provided will be detailed in a separate service agreement or project scope document.

4. Intellectual Property Rights

4.1 Client Ownership: Upon full payment of fees and completion of work, all custom-developed code, documentation, and deliverables created specifically for the Client shall be owned by the Client.

4.2 KiraX Solutions IP: KiraX Solutions retains all rights to pre-existing materials, tools, frameworks, libraries, and general methodologies. The Client grants KiraX Solutions a non-exclusive license to use any Client-provided materials for improvement of our services.

4.3 Third-Party Components: The Deliverables may contain third-party components subject to open-source or commercial licenses. The Client is responsible for complying with all applicable license terms.

5. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the engagement. This includes but is not limited to business plans, technical specifications, source code, and proprietary data.

KiraX Solutions may use general project experience and methodologies for business development purposes, but will not disclose specific Client information without written consent.

6. Payment Terms

6.1 Fees: Fees for services will be as outlined in the project proposal or service agreement. Payment terms, including invoicing schedule and due dates, will be specified in the agreement.

6.2 Late Payment: Invoices are due within 30 days of issuance unless otherwise agreed. Late payments may incur interest at 1.5% per month or the maximum legal rate, whichever is lower.

6.3 Expenses: The Client agrees to reimburse KiraX Solutions for reasonable out-of-pocket expenses incurred during service delivery, including travel, software licenses, and hosting fees.

7. Warranties and Disclaimers

7.1 Service Warranty: KiraX Solutions warrants that services will be performed in a professional manner consistent with industry standards.

7.2 Disclaimer: EXCEPT AS EXPRESSLY STATED, KIRAX SOLUTIONS PROVIDES SERVICES "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

7.3 Third-Party Systems: KiraX Solutions is not responsible for errors or issues with third-party systems, APIs, or services integrated into the Deliverables.

8. Limitation of Liability

IN NO EVENT SHALL KIRAX SOLUTIONS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL LIABILITY OF KIRAX SOLUTIONS UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

The Client agrees to indemnify, defend, and hold harmless KiraX Solutions from any claims, damages, or losses arising from:

  • Client's use of the Deliverables in unauthorized ways
  • Client-provided materials or data that infringe third-party rights
  • Client's violation of these Terms or applicable laws
  • Client's breach of the service agreement

10. Support and Maintenance

Unless separately contracted, KiraX Solutions provides support for 30 days following project delivery to address critical issues identified during initial use.

Extended support and maintenance services can be arranged separately. The Client is responsible for regular backups and security updates of deployed systems.

11. Termination

Either party may terminate the engagement with 30 days written notice. In case of termination:

  • The Client remains responsible for all fees incurred through the termination date
  • KiraX Solutions will provide the Client with all completed work
  • All confidentiality obligations remain in effect

12. User Conduct

Users agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to systems
  • Reverse engineer, decompile, or disassemble software
  • Use the services for illegal or unethical purposes

13. Privacy

Your use of our website is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data collection and usage practices.

14. Dispute Resolution

Any disputes arising from these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes may be resolved through binding arbitration in accordance with applicable laws.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which KiraX Solutions is established, without regard to its conflict of law provisions.

16. Entire Agreement

These Terms, together with any separate service agreement or project proposal, constitute the entire agreement between the parties regarding the services and supersede all prior negotiations and agreements.

17. Modifications to Terms

KiraX Solutions reserves the right to modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of our services after modifications constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
